    Xponents Advisory Partners is a specialized Corporate Advisory Firm focused exclusively on representing shareholders in the sale of privately held businesses with enterprise values ranging from $5MM to $50MM across Ontario, Canada.


    Our mandate is to deliver disciplined, execution-focused advisory services to business owners pursuing a liquidity event. Drawing on a rigorous preparation process and a deep understanding of the lower to middle market, we work to protect shareholder interests and maximize transaction value.

    Our Origin

    Xponents Advisory Partners was established in response to increasing demand from our accounting practice clients seeking strategic guidance beyond traditional compliance and reporting services. As clients approached critical inflection points—such as succession planning, liquidity events, and growth through acquisition—it became clear that comprehensive transaction advisory support was required.


    Leveraging long-standing client relationships, deep financial expertise, and firsthand insight into business operations, the Business Advisory practice was formed to provide specialized mergers and acquisitions advisory services. This evolution enables Xponents to deliver integrated, end-to-end support to business owners navigating complex strategic and transactional decisions.customized solutions that meet their unique needs.

    What You Can Expect

    Initial Consultation & Strategic Assessment

    Xponents works with the client to understand objectives, timing, valuation expectations, and strategic considerations. This phase establishes transaction goals and evaluates readiness for a potential sale, acquisition, or merger. Preparing a business for sale typically takes two to five years.  

    Valuation & Transaction Structuring

    A comprehensive valuation analysis is performed using market data, financial performance, and industry benchmarks. Xponents also advises on optimal transaction structures to align with the client’s financial and strategic objectives.

    Preparation & Positioning

    The business is positioned for the market through financial normalization, risk assessment, and operational review. Marketing materials, including a Confidential Information Memorandum (CIM), are prepared to present the opportunity professionally and effectively.

    Buyer Identification & Confidential Marketing

    Xponents identifies and screens qualified strategic and financial buyers. The opportunity is marketed confidentially, and information is released only to parties that have executed a non-disclosure agreement.

    Management Meetings & Indications of Interest

    Interested parties engage in management discussions and submit indications of interest (IOIs). Xponents evaluates proposals and advises the client on value, terms, and buyer fit.

    Letter of Intent (LOI) Negotiation

    Xponents leads the negotiation of the Letter of Intent, focusing on purchase price, structure, key terms, and deal certainty while protecting the client’s interests.

    Due Diligence

    The buyer conducts a detailed review of financial, legal, operational, and commercial aspects of the business. Xponents manages the diligence process to maintain momentum and minimize disruption.

    Definitive Agreements & Closing

    Final transaction documents are negotiated and executed. Xponents coordinates with legal, tax, and financial advisors to ensure a smooth closing and successful completion of the transaction.

    Transition & Post-Closing Support

    Where applicable, Xponents assists with transition planning to support continuity of operations and alignment between the buyer and seller following closing.

    David Chong, FRI, PLE, Co-Founder

    David has spent over two decades in the advisory sector managing the real estate interests for a wide variety of clients across the Country. Over the last twenty years, he has represented many organizations and has a keen understanding of their operations and market strategies. 


    His client experience also includes strategic planning, financial analysis, negotiation and implementation of real estate disposition and consolidation projects for various industry sectors.  He has a proven track record with companies in the healthcare, technology, financial services, and not for profit space.  


    David is a graduate of the University of British Columbia, Sauder School of Business Urban Land Economics Program.  He also holds a Fellow of the Real Estate Institute of Canada (FRI) designation along with recognition as a Professional Land Economist (PLE) from the Association of Ontario Land Economists.  David has also completed the Executive Leadership Program through the Samuel Curtis Johnson Graduate School of Management at Cornell University.

    Mike Li, CPA, CGA, Co-Founder

    Mike's expertise lies in tax planning, succession planning, and restructuring privately owned corporations to minimize taxation for businesses and their owner-operators.   With this in depth knowledge of his client's businesses he is able to craft tailored solutions to prepare them for every stage of the buisness cycle.  He has assisted numerous organizations with their strategic plans and serves as trusted advisor for tax efficient planning.


    Before founding Xponents CPA, Mike gained extensive experience working at Deloitte, BDO, and other regional firms. His dedication to providing strategic tax solutions has made him a trusted advisor in the industry. 


    Mike Li graduated from McGill University in 2005 with a major in Accounting. He obtained his CPA designation in 2010 and subsequently completed an in-depth taxation program, becoming a full-time tax specialist.
